These Terms apply to all users of DataW. They work together with our Privacy Policy and project briefs between buyers and collectors. See our FAQs for common platform questions.
These Terms of Service ("Terms") govern your access to and use of the DataW website, applications, and related services ("Platform" or "Services"). DataW ("DataW," "we," "us," or "our") operates a global data marketplace that connects organizations seeking datasets ("Buyers" or "Requesters") with verified data collectors ("Collectors").
By creating an account, browsing the Platform, posting a project, submitting data, or otherwise using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding contract to use DataW. You represent that the information you provide during registration is accurate and that you will keep it current.
We may refuse or revoke access if we reasonably believe you do not meet eligibility requirements, pose a security or compliance risk, or have previously violated these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@data-w.com if you suspect unauthorized access.
We may require identity verification, role selection (Buyer or Collector), and additional checks before enabling payouts, high-value projects, or certain features. You agree to cooperate with reasonable verification requests.
Depending on your role, you may:
DataW facilitates matching, messaging, quality validation, payments, and compliance tooling. We do not guarantee that any project will be filled, completed, or profitable. Project-specific requirements are set in briefs and accepted by participants at their discretion.
Buyers are responsible for defining lawful, accurate project briefs, including permitted fields, geography, consent requirements, and intended use. Collectors are responsible for collecting and submitting data only as authorized by the brief and applicable law.
Unless otherwise agreed in writing between Buyer and Collector, Buyers receive rights to approved deliverables as described in the project brief. Collectors retain no license to reuse Buyer-specific deliverables beyond what the brief allows.
Pricing, platform fees, and payout schedules are disclosed during checkout, in project briefs, or on our pricing page. Buyers fund agreed amounts into escrow or approved payment flows before work proceeds where required.
We use third-party payment and custody providers. Their terms may apply to certain transactions in addition to these Terms.
You agree not to:
We may investigate violations and suspend or terminate accounts, withhold payouts pending review, and cooperate with law enforcement where required.
DataW and its licensors own the Platform, trademarks, software, and documentation. Except for limited rights necessary to use the Services, no license is granted to our intellectual property.
You retain ownership of content you submit, subject to licenses you grant to operate the Platform (for example, hosting, displaying, and processing submissions) and to fulfill projects. You represent that you have the rights needed to provide your content and that it does not infringe third-party rights.
Non-public project briefs, pricing, and business information shared through the Platform should be treated as confidential by participants, except where disclosure is required by law or authorized by the disclosing party. DataW may access information as needed to operate, secure, and support the Services, as described in our Privacy Policy.
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DataW does not warrant uninterrupted or error-free operation, the accuracy of user-generated briefs or submissions, or outcomes of any project. You use the Services at your own risk and are responsible for evaluating data suitability for your use case.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO DATAW FOR THE PROJECT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
You will defend, indemnify, and hold harmless DataW and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content or submissions, your violation of these Terms or applicable law, or disputes between you and other users, except to the extent caused by DataW's gross negligence or willful misconduct.
You may close your account at any time through account settings or by contacting support. We may suspend or terminate access immediately if you breach these Terms, create legal or security risk, or if required by law.
Upon termination, your right to use the Platform ends. Provisions that by their nature should survive (including payment obligations, dispute resolution, disclaimers, and limitations of liability) will survive.
Project disputes between Buyers and Collectors should first be addressed through Platform messaging and support tools. DataW may, but is not obligated to, assist in mediation consistent with our policies.
These Terms are governed by the laws of the State of California, United States, excluding conflict-of-law rules. Except where prohibited, you agree that exclusive jurisdiction for disputes relating to these Terms or the Services lies in the state or federal courts located in San Francisco County, California.
If you are a consumer in a jurisdiction that grants mandatory local rights, nothing in these Terms limits those non-waivable rights.
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Where required by law, we will provide additional notice. Continued use after changes take effect constitutes acceptance of the revised Terms, unless otherwise required by law.
